أهلاً بك في منصة المنظمين من إيفنتاون (EVNTOWN for Organizers) – حيث تُصنع التجارب الناجحة! نحن في إيفنتاون EVNTOWN لا نعتبر أنفسنا مجرد أداة لبيع التذاكر، بل نحن شريكك الاستراتيجي في النمو. نسعى لتمكين صناع وتجارب الفعاليات في مصر بأحدث البنيات البرمجية، والأدوات التسويقية الذكية لإدراج الفعاليات، وإدارة التذاكر، ومعالجة المدفوعات، وسحب المستحقات المالية بأعلى معايير السلاسة، والأمان، والشفافية.

تم إعداد هذه الوثيقة (اتفاقية تقديم الخدمات وعقد مستوى الخدمة) لتكون خارطة طريق واضحة تنظم علاقتنا التشغيلية، والمالية، والقانونية، ولنضمن معاً تقديم أفضل تجربة لجمهورك.

أطراف الشراكة:

نحن (الطرف الأول - "المنصة" / "الشركة"): شركة إيفنتاون تكنولوجي (EVNTOWN LLC)، شركة مصرية خاضعة لأحكام قانون الاستثمار رقم 72 لسنة 2017، نعمل كمنصة برمجية (SaaS) وواجهة تحصيل مالي مؤقتة لتسهيل أعمالك (Merchant of Record / Collection Facilitator).
أنت (الطرف الثاني - "المنظم" / "الشريك"): كل مبدع، سواء كنت فرداً مستقلاً أو كياناً مؤسسياً، يقوم بإنشاء حساب منظم على لوحة تحكم إيفنتاون (B2B Dashboard)، أو يستخدم أدواتنا الرقمية لإدراج أو تسويق أو إدارة حجوزات فعالياته.

موافقتك كشريك: بمجرد قيامك بإنشاء حسابك كمنظم، أو التأشير على خانة الموافقة (Checkbox)، أو البدء في استخدام لوحة التحكم لنشر الفعاليات، فإنك توافق على الانضمام لهذه الشراكة والالتزام بالبنود الموضحة أدناه، والتي تضمن حقوقك وحقوقنا وتتوافق مع القوانين المصرية المنظمة للمعاملات والتوقيع الإلكتروني.

البند الأول: أساس الشراكة والوساطة التقنية (دورنا ودورك)

الوساطة التقنية والمالية: دورنا الأساسي هو تزويدك بالبنية التحتية. منصة EVNTOWN تعمل كـ "وسيط تقني ووكيل تحصيل مالي مؤقت" لتسهيل وصول مبيعاتك إليك عبر شريكنا في الدفع (شركة فواتيرك Fawaterk). لذا، فإن كافة الأموال المحصلة من بيع التذاكر—بعد خصم رسوم الخدمة المتفق عليها—هي إيرادات خالصة لك، ونحن نحتفظ بها كأمانة مؤقتة لتأمين الحجوزات حتى نوردها لك بعد نجاح الفعالية.
استقلالية التنظيم: إيفنتاون تفخر بكونها منصتك التقنية، ولكننا لسنا "الجهة المنظمة" أو "المالكة" للفعاليات المدرجة (إلا إذا أعلنا ذلك رسمياً في حالات استثنائية). الفعالية هي إبداعك ومسؤوليتك.
مسؤولية إنجاح الحدث: بصفتك المنظم، أنت القائد في الميدان. تقع على عاتقك المسؤولية الكاملة تجاه جمهورك والجهات الرسمية لضمان سلامة المقر، جودة المحتوى، وتقديم التجربة كما وعدت بها، بالإضافة إلى استخراج أي تصاريح أمنية أو حكومية أو نقابية مطلوبة قانوناً في مصر لإقامة الحدث.
حماية متبادلة (التعويض): لضمان استمرار منصتنا في خدمة آلاف المنظمين، نتفق على أن يقوم المنظم بحماية المنصة وتعويضها عن أي أضرار أو مطالبات قد تنشأ نتيجة لعدم التزامه بالقوانين المحلية أو شروط إقامة فعالياته.
التزامنا التقني (SLA): نحن نتعهد بتقديم أقصى درجات العناية التقنية لضمان استقرار الخوادم وموقع الويب لخدمة مبيعاتك. وفي حالات القوة القاهرة أو الأعطال التقنية الخارجة عن إرادتنا (كأعطال الخوادم العالمية)، فإننا نتعاون لتجاوزها، مع تفهمك بأن سقف مسؤوليتنا المالية ينحصر في قيمة العمولات الصافية التي حصلتها المنصة من الفعالية محل أي نقاش.

البند الثاني: الانضمام للمنصة والتوثيق (KYC - لضمان بيئة آمنة)

لحماية مجتمعنا المالي والالتزام بقواعد البنك المركزي المصري، نطلب إجراءات توثيق بسيطة قبل البدء في استقبال وسحب الأموال:

التسجيل والإدراج المجاني: نرحب بك لإدراج فعالياتك المجانية أو استكشاف لوحة التحكم فوراً وبدون أي رسوم. ولكن لتفعيل "نظام التذاكر المدفوع" واستقبال أرباحك، نحتاج لبعض الخطوات.
متطلبات التوثيق الإلزامية: للمنظم الفرد: صورة واضحة لبطاقة الرقم القومي (الوجهين)، وبيانات حسابك البنكي الشخصي الذي يطابق اسمك بالبطاقة. للمؤسسات والشركات: نسخة من السجل التجاري، البطاقة الضريبية، إثبات هوية المفوض بالتوقيع، وبيانات الحساب البنكي التجاري باسم الشركة.
التطابق المالي: نعتذر عن تحويل أي أرباح لحسابات بنكية تختلف عن الاسم القانوني الموثق لدينا، وذلك التزاماً بشفافية المعاملات المالية.
فحص الحسابات: يقوم فريقنا بمراجعة حسابك خلال 24 ساعة لضمان الجاهزية. ونحتفظ بحقنا في تعليق أي حساب في حال وجود بيانات غير دقيقة للحفاظ على أمان مجتمعنا.

البند الثالث: الشروط المالية والعمولات (شفافية بلا مفاجآت)

عمولة المنصة: عند تفعيلك لنظام التذاكر، نطبق عمولة تشغيلية ثابتة وقدرها (5%) تُخصم من القيمة الإجمالية لكل تذكرة مباعة لصالحك.
ماذا تغطي هذه العمولة؟ هذه النسبة (5%) هي عمولة شاملة تغطي استخدامك للنظام التقني بأكمله، وتتحمل فيها إيفنتاون كافة مصاريف بوابات الدفع (شريكنا "فواتيرك")، وعمولات الكروت البنكية والمحافظ الإلكترونية، لكي لا تواجه أي تكاليف خفية إضافية.
وضوح الضريبة: العمولات المذكورة غير شاملة لضريبة القيمة المضافة (14%). المنظم هو المسؤول المالي والضريبي الحصري أمام مصلحة الضرائب عن مبيعات فعالياته، بينما تقتصر مسؤولية EVNTOWN الضريبية على سداد الضرائب المستحقة عن إيرادها الصافي (الـ 5%) فقط.
تحويل المستحقات كاملة: تلتزم منصتنا بتحويل أرباحك الصافية دون أي اقتطاعات أخرى غير متفق عليها مسبقاً.

البند الرابع: دورة الأرباح والتسويات المالية (سرعة التحويل)

دورة التحويل (Payout Cycle): تلتزم المنصة بتحويل صافي مستحقاتك (مبيعات التذاكر الفعلية مخصوماً منها عمولة الـ 5% وتكلفة أي باقات ترويجية مفعلة) خلال مدة سريعة تتراوح بين (3 إلى 5 أيام عمل) كحد أقصى من الانتهاء الفعلي والناجح للفعالية.
لا لسياسة الاحتجاز (No Rolling Reserve): دعماً لسيولتك كشريك موثوق، نحن لا نقوم باقتطاع أو احتجاز أي نسبة من أرباحك كضمان مالي (Rolling Reserve) بعد انتهاء الفعالية، بل نصرف لك كامل مستحقاتك الصافية بمجرد اكتمال الفعالية بسلام.
تأكيد التحويل: بمجرد إصدارنا لإشعار التحويل المالي إلى حسابك الموثق لدينا، يُعد ذلك إتماماً لالتزامنا المالي تجاهك.

البند الخامس: حماية المعاملات والنزاعات البنكية (Chargebacks)

مواجهة النزاعات المضلله: لضمان حقوقك وحقوقنا، نعتمد على "سجلات الفحص والمسح الرقمي اللحظية للبوابات" (Scanner Logs & Timestamps). هذه السجلات هي دليلنا التقني القاطع لإثبات حضور العميل والرد على ادعاءات البنوك أو النزاعات البنكية المفتعلة (Chargebacks).
سداد العجز للنزاعات: في الحالات النادرة التي يتم فيها فرض غرامات نزاعات بنكية بعد أن نكون قد قمنا بتحويل الأرباح إليك، يُفوض المنظم المنصة بخصم هذه المبالغ من أي أرباح قادمة له، أو يلتزم بتسويتها معنا كدين تجاري خلال 3 أيام عمل.

Welcome to EVNTOWN for Organizers – Where successful experiences are made! At EVNTOWN, we do not consider ourselves merely a ticketing tool; rather, we are your strategic growth partner. We strive to empower event creators and experiences in Egypt with the latest software infrastructures and smart marketing tools for listing events, managing tickets, processing payments, and withdrawing financial dues with the highest standards of seamlessness, security, and transparency.

This document (Service Agreement and Service Level Agreement - SLA) has been prepared to serve as a clear roadmap organizing our operational, financial, and legal relationship, ensuring together that we provide the best experience for your audience.

Parties to the Partnership:

We (The First Party - "The Platform" / "The Company"): EVNTOWN Technology (EVNTOWN LLC), an Egyptian company subject to the provisions of Investment Law No. 72 of 2017, operating as a software platform (SaaS) and a temporary financial collection interface to facilitate your business (Merchant of Record / Collection Facilitator).
You (The Second Party - "The Organizer" / "The Partner"): Every creator, whether an independent individual or a corporate entity, who creates an organizer account on the EVNTOWN dashboard (B2B Dashboard), or uses our digital tools to list, market, or manage their event bookings.

Your Consent as a Partner: By creating your organizer account, ticking the consent box (Checkbox), or actively starting to use the dashboard to publish events, you agree to join this partnership and comply with the terms outlined below. These terms guarantee our mutual rights and comply with Egyptian laws regulating electronic transactions and e-signatures.

Clause One: Basis of the Partnership & Technical Brokerage (Our Role and Yours)

Technical and Financial Brokerage: Our primary role is to provide you with the infrastructure. The EVNTOWN platform acts as a "Technical Intermediary and Temporary Financial Collection Agent" to facilitate the delivery of your sales to you via our payment partner (Fawaterk). Therefore, all funds collected from ticket sales—after deducting the agreed-upon service fees—are purely your revenues. We hold them in temporary trust to secure bookings until we remit them to you upon the successful completion of the event.
Organizational Independence: EVNTOWN takes pride in being your technical platform, but we are not the "Organizer" or "Owner" of the listed events (unless we officially announce otherwise in exceptional cases). The event is your creation and your responsibility.
Responsibility for Event Success: As the organizer, you are the leader in the field. You bear full responsibility towards your audience and official authorities to ensure venue safety, content quality, and the delivery of the experience as promised, in addition to obtaining any security, governmental, or syndicate permits legally required in Egypt to host the event.
Mutual Protection (Indemnity): To ensure our platform continues to serve thousands of organizers, we agree that the organizer will protect and indemnify the platform against any damages or claims that may arise as a result of their non-compliance with local laws or the conditions for hosting their events.
Our Technical Commitment (SLA): We commit to providing the utmost technical care to ensure the stability of the servers and website to serve your sales. In cases of force majeure or technical failures beyond our control (such as global server outages), we will cooperate to overcome them, with your understanding that our financial liability cap is strictly limited to the value of the net commissions actually collected by the platform from the disputed event.

Clause Two: Platform Onboarding and Verification (KYC - Ensuring a Secure Environment)

To protect our financial community and comply with the regulations of the Central Bank of Egypt, we require simple verification procedures before you can start receiving and withdrawing funds:

Free Registration and Listing: We welcome you to list your free events or explore the dashboard immediately and at no cost. However, to activate the "Paid Ticketing System" and receive your profits, we require a few steps.
Mandatory Verification Requirements: For the Independent Organizer: a clear copy of your National ID (both front and back), and your personal bank account details that perfectly match the name on your ID. For Institutions and Companies: a copy of the Commercial Register, Tax Card, proof of identity for the authorized signatory, and the corporate bank account details registered under the company's name.
Financial Matching: We apologize for not transferring any profits to bank accounts that differ from the documented legal name we have on file, in strict compliance with financial transparency regulations.
Account Review: Our team will review your account within 24 hours to ensure readiness. We reserve the right to suspend any account if inaccurate data is found, in order to maintain the safety of our community.

Clause Three: Financial Terms and Commissions (Transparency with No Surprises)

Platform Commission: Upon activating the ticketing system, we apply a flat operational commission of (5%) deducted from the total value of each ticket sold on your behalf.
What Does This Commission Cover? This (5%) is an all-inclusive commission covering your use of the entire technical system. EVNTOWN absorbs all payment gateway processing fees (our partner "Fawaterk"), as well as bank card and e-wallet commissions, so you do not face any additional hidden costs.
Tax Clarity: The aforementioned commissions do not include Value Added Tax (VAT 14%). The organizer is the sole financial and tax entity responsible before the Tax Authority for their event sales, whereas EVNTOWN's tax liability is strictly limited to paying the taxes due on its net revenue (the 5% commission) only.
Full Transfer of Dues: Our platform commits to transferring your net profits without any other deductions not previously agreed upon.

Clause Four: Revenue Cycle and Financial Settlements (Speed of Payouts)

Payout Cycle: The platform is committed to transferring your net dues (actual ticket sales minus the 5% commission and the cost of any activated promotional packages) within a swift period ranging from (3 to 5 business days) maximum after the actual and successful completion of the event.
No Rolling Reserve Policy: In support of your liquidity as a trusted partner, we do not deduct or withhold any percentage of your profits as a financial guarantee (Rolling Reserve) after the event ends. Instead, we disburse your full net dues as soon as the event is successfully completed.
Payout Confirmation: Once we issue the financial transfer notification to your verified account with us, this constitutes the fulfillment of our financial obligation towards you.

Clause Five: Transaction Protection and Bank Disputes (Chargebacks)

Confronting Misleading Disputes: To secure both your rights and ours, we rely on "Real-time Gate Scanning and Inspection Logs" (Scanner Logs & Timestamps). These records serve as our definitive technical evidence to prove the customer's attendance and to respond to bank claims or fabricated bank disputes (Chargebacks).
Settling Dispute Deficits: In the rare event that bank dispute penalties are imposed after we have already transferred the profits to you, the organizer authorizes the platform to deduct these amounts from any of their future profits, or commits to settling them with us as a commercial debt within 3 business days.
